Welcome to Shopthru. These Terms and Conditions govern your access to and use of the Shopthru website, mobile site, applications, services, content, tools, features, and any related services operated by Shopthru, its affiliates, successors, assigns, licensors, service providers, and partners (β€œShopthru,” β€œwe,” β€œus,” or β€œour”).

 

By accessing, browsing, registering on, listing on, selling through, purchasing through, or otherwise using Shopthru in any way, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions, our Privacy Policy, Return and Refund Policy, Vendor Rules, and any other policies, notices, disclaimers, guidelines, or supplemental terms posted on the platform from time to time, all of which are incorporated into these Terms by reference. If you do not agree, you must not use Shopthru.

 

These Terms apply to all users of the platform, including without limitation buyers, browsers, customers, merchants, vendors, sellers, delivery partners, advertisers, affiliates, promoters, agents, and any other users or visitors.

 

1. Nature of the Platform

Shopthru is a multi-vendor marketplace that allows independent vendors to list, market, offer, and sell goods and, where permitted, services to buyers. Unless expressly stated otherwise in writing by Shopthru, Shopthru is not the manufacturer, creator, producer, distributor, importer, exporter, warehouse owner, primary seller, reseller, testing laboratory, repair provider, insurer, guarantor, or certifier of third-party products listed by independent vendors on the platform.

 

Shopthru primarily provides a digital venue, technology infrastructure, discovery tools, transaction support, communication tools, promotional services, payment-related support, customer support channels, dispute facilitation channels, and related services. The actual contract for sale of third-party items is generally between the buyer and the vendor, subject to Shopthru’s platform rules, intervention rights, and transaction controls.

 

Shopthru may, in its sole discretion, curate listings, remove listings, suspend users, limit visibility, intervene in disputes, hold payouts, issue reversals, process refunds, refuse transactions, or take any platform action it considers necessary for compliance, trust and safety, platform integrity, fraud prevention, user protection, operational reasons, or business reasons.

 

2. Eligibility and Legal Capacity

By using Shopthru, you represent and warrant that:

 

you are legally capable of entering into a binding agreement;

all information you provide is true, accurate, current, complete, and not misleading;

your use of the platform does not violate any applicable law, regulation, court order, contract, or third-party right;

if you use Shopthru on behalf of a company, organization, institution, or other legal entity, you have authority to bind that entity to these Terms.

 

Where local law requires parental, guardian, or institutional permission for a user to access certain features, make purchases, or operate a vendor account, the user is solely responsible for obtaining such permission.

 

3. Account Registration and Security

You may be required to create an account to access some parts of Shopthru. You are solely responsible for:

 

maintaining the confidentiality of your username, password, device, and login credentials;

all activity carried out under your account, whether authorized by you or not, unless applicable law states otherwise;

notifying Shopthru immediately if you suspect unauthorized use, fraud, compromise, hacking, theft, impersonation, or security breach.

 

Shopthru may require identity verification, school verification, address verification, phone verification, email verification, payment verification, tax or regulatory verification, business verification, or any other verification we consider necessary.

 

We may refuse registration, suspend accounts, merge accounts, recover accounts, restrict features, or terminate access at any time, with or without notice, where we suspect fraud, abuse, legal risk, policy breach, identity concerns, operational issues, security concerns, or any conduct we believe may expose Shopthru, its users, or the public to harm.

 

4. Campus and Location-Based Marketplace Model

Shopthru may use location, campus, school, address, community, browsing behavior, or other signals to display vendors or listings that appear most relevant to a user’s area. Such display logic is for convenience only and does not guarantee:

 

that all displayed vendors are located in the same campus or neighborhood;

that the nearest vendor will always appear first;

that all products are available in the user’s location;

that delivery timelines will be identical across vendors;

that products from outside the campus area will not be shown.

All delivery estimates are indicative only unless expressly guaranteed in writing.

 

5. Buyer Terms

As a buyer, you agree that:

you will only place genuine orders;

you will not place fraudulent, abusive, duplicate, speculative, prank, or bad-faith orders;

you will provide accurate delivery, contact, and payment information;

you will inspect your order promptly upon delivery or collection;

you will follow all return, refund, complaint, and reporting deadlines stated on the platform;

you will not misuse the return system, payment reversal systems, support tools, or dispute channels;

you will not consume, use, alter, wear, damage, switch, tamper with, partially use, or misrepresent products and then seek an improper refund or replacement.

 

Shopthru reserves the right to cancel orders, reverse promotions, block accounts, deny refunds, report suspected fraud, and take legal action where a buyer engages in abuse, policy evasion, chargeback misuse, false claims, or harmful conduct.

 

6. Vendor Terms

As a vendor, you represent and warrant that:

 

you have full right, title, authority, licenses, approvals, and permissions to list, market, store, sell, and deliver your products;

your listings are lawful, accurate, complete, and not misleading;

your products comply with all applicable laws, regulatory standards, labeling rules, import/export rules, intellectual property rights, health and safety requirements, consumer protection laws, advertising rules, and product-specific restrictions;

you will honor confirmed orders, except where cancellation is permitted by Shopthru;

you will not sell prohibited, unsafe, counterfeit, stolen, adulterated, expired, contaminated, unlawful, misbranded, or infringing items;

you will not manipulate reviews, sales numbers, pricing, stock counts, search placement, delivery claims, or refunds;

you will maintain accurate stock information and update it promptly;

you will cooperate fully with investigations, complaints, returns, recalls, regulatory requests, safety incidents, and platform audits.

 

Vendors are solely responsible for their products, listings, pricing, packaging, legal compliance, warranties they offer, taxes they owe, permits they require, claims they make, and the consequences of defects, illegality, misrepresentation, infringement, safety failures, contamination, injury, loss, or damage arising from their products or conduct.

 

7. Prohibited Products and Activities

Shopthru may prohibit or restrict any category of product, service, content, or activity at any time. Without limitation, users must not list, sell, offer, request, advertise, upload, transmit, or facilitate:

 

illegal products;

counterfeit, fake, pirated, or infringing goods;

stolen property;

unsafe or recalled goods;

expired, contaminated, opened, or tampered personal-use items where resale is inappropriate;

prohibited drugs or regulated substances without lawful authorization;

weapons or restricted devices where not permitted;

fraudulent documents or identity materials;

obscene, hateful, abusive, violent, exploitative, or unlawful content;

malware, phishing tools, hacking tools, or malicious code;

deceptive listings, false pricing, bait-and-switch offers, fake discounts, false scarcity, or misleading product claims;

any item or conduct that exposes Shopthru to legal, financial, regulatory, reputational, operational, or safety risk.

Shopthru may remove listings and preserve evidence for investigation or reporting.

 

8. Product Listings and Information

Product descriptions, images, measurements, weights, colors, packaging, branding, ingredients, usage guidance, compatibility statements, and specifications may be supplied by vendors or third parties. While Shopthru may review or moderate some content, we do not guarantee that all listing content is accurate, complete, current, safe, lawful, or fit for your intended purpose.

 

Actual products may vary from images due to lighting, display screens, packaging changes, batch differences, manufacturing changes, or vendor updates. Buyers are responsible for reading product details carefully and contacting the vendor or Shopthru support where clarification is needed before purchase.

 

9. Pricing, Promotions, and Availability

All prices, promotions, discounts, coupon offers, flash offers, shipping fees, and product availability are subject to change at any time without notice. Shopthru may correct typographical, pricing, inventory, tax, shipping, or content errors before or after an order is placed.

 

Shopthru reserves the right to cancel or refuse any order arising from an error, suspected abuse, unauthorized reseller activity, technical malfunction, stock issue, fraud concern, pricing glitch, promotion misuse, or legal/compliance concern. If payment was captured for a canceled order, the applicable refund process will apply.

 

10. Orders and Acceptance

Placing an order does not automatically mean the order has been accepted. Order acknowledgment, payment authorization, processing status, or delivery estimate does not constitute final acceptance in all cases. Shopthru and/or the vendor may decline, hold, split, modify, delay, or cancel an order before dispatch or completion for stock, compliance, fraud, payment, identity, logistics, safety, legal, platform, or operational reasons.

 

11. Payments and Financial Processing

Payments on Shopthru may be processed by third-party payment processors, banks, mobile money providers, gateways, wallet providers, or other financial service providers. Shopthru does not control all aspects of third-party payment systems and is not liable for outages, reversals, settlement delays, banking issues, processor errors, card network rules, unauthorized bank decisions, or third-party payment downtime.

 

By making or receiving payments through Shopthru, you authorize Shopthru and its service providers to:

 

verify your identity and payment method;

screen transactions for fraud, risk, sanctions, abuse, and compliance;

place holds, reserves, rolling reserves, payout delays, deductions, offsets, or reversals;

recover amounts owed to Shopthru from future payouts, linked methods, or other lawful means;

share relevant transaction data with payment processors, banks, regulators, and enforcement bodies where necessary.

Vendors remain solely responsible for taxes, charges, remittances, invoicing, bookkeeping, and financial compliance applicable to their sales.

 

12. Delivery, Collection, and Logistics

Delivery times are estimates only unless expressly stated otherwise. Delivery outcomes may be affected by vendor preparation time, stock issues, traffic, weather, school or campus rules, security restrictions, holidays, strikes, third-party delivery failures, force majeure, address inaccuracies, failed contact attempts, or buyer unavailability.

 

Risk may pass to the buyer upon delivery, handover, collection, or any other point specified in Shopthru’s policies or at law. Buyers are responsible for ensuring that delivery addresses, pickup details, and recipient details are correct and accessible.

 

Shopthru may use third-party riders, dispatch partners, independent contractors, campus agents, or other logistics services. Shopthru does not guarantee the conduct or performance of every independent logistics participant and is not liable for losses caused solely by third-party acts beyond its reasonable control, subject to applicable law.

 

13. Returns, Refunds, Replacements, and Chargebacks

Returns and refunds are governed by Shopthru’s Return and Refund Policy as updated from time to time. Shopthru may deny a return or refund where the request is late, unsupported, abusive, dishonest, inconsistent with platform policy, or based on a non-returnable item.

 

No user may initiate improper chargebacks, payment reversals, false non-delivery claims, false unauthorized payment claims, or coordinated refund abuse. Shopthru may contest such actions, provide records to financial institutions, suspend the user, recover losses, and pursue legal remedies.

Where Shopthru issues a refund, credit, voucher, goodwill adjustment, or platform balance, this does not constitute admission of liability unless expressly stated.

 

14. Vendor Payouts, Holds, and Set-Off

Shopthru may deduct fees, penalties, refunds, chargebacks, losses, recoveries, taxes, compliance costs, dispute amounts, shipping adjustments, advertising charges, or any amount owed by a vendor before releasing payouts.

 

Shopthru may hold payouts where there is suspected fraud, return risk, legal risk, unresolved complaints, unusual activity, verification failure, regulatory concern, negative balance, or any reasonable need to protect buyers, Shopthru, payment systems, or the public.

 

15. Reviews, Ratings, and User Content

Users may submit reviews, ratings, comments, messages, complaints, photos, videos, and other content. By submitting content, you grant Shopthru a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, analyze, use, and create derivative works from that content for operating, improving, promoting, defending, and monetizing the platform, subject to our Privacy Policy.

 

You are solely responsible for your content and must not submit anything false, defamatory, infringing, abusive, unlawful, invasive of privacy, or misleading. Shopthru may remove or moderate content at any time, with or without notice.

 

16. Intellectual Property

All platform design, branding, logos, text, code, databases, workflows, software, graphics, interfaces, compilations, trademarks, service marks, and other platform content owned or licensed by Shopthru are protected by applicable intellectual property laws. Users may not copy, scrape, reproduce, mirror, resell, republish, reverse engineer, decompile, frame, data-mine, or exploit the platform or its contents except as expressly permitted.

 

Vendors and users warrant that they own or are authorized to use all content, trademarks, images, videos, logos, and materials they upload. Shopthru may remove allegedly infringing content and suspend related accounts.

 

17. Marketplace Disclaimer on Product Quality, Safety, and Fitness

To the maximum extent permitted by law, and except where Shopthru is expressly identified as the direct seller, Shopthru does not manufacture, inspect every unit, test every product, warrant vendor statements, or guarantee that goods sold by third-party vendors are merchantable, safe, authentic, non-infringing, suitable for a particular purpose, medically appropriate, nutritionally appropriate, legally importable, campus-compliant, or free from defect.

 

Any decision to rely on product descriptions, vendor claims, labels, dosage instructions, ingredient statements, compatibility claims, user reviews, or third-party representations is at the buyer’s own risk.

 

18. Medical, Health, Food, Cosmetic, and Personal-Use Product Disclaimer

Products in categories such as food, supplements, cosmetics, personal care, fragrance, skincare, hygiene, wellness, or similar categories may carry particular risks, including allergy, irritation, spoilage, contamination, misuse, improper storage, regulatory restrictions, or incompatibility with the buyer’s condition. Buyers are solely responsible for reading labels, checking expiry dates where relevant, checking allergens, verifying suitability, and seeking professional advice where necessary.

 

Shopthru is not responsible for adverse reactions, misuse, undisclosed allergies, overuse, abuse, unsafe storage after delivery, or buyer failure to follow product instructions, except to the extent liability cannot lawfully be excluded.

 

19. Electronics, Appliances, and Technical Product Disclaimer

Shopthru does not guarantee uninterrupted compatibility between third-party electronic products and every device, network, software version, power source, or technical environment. Installation, setup, firmware, voltage compatibility, configuration, and maintenance are the buyer’s or vendor’s responsibility unless expressly stated otherwise.

 

20. Third-Party Services and Links

Shopthru may contain links to third-party websites, payment services, maps, delivery systems, chat tools, social media pages, analytics services, hosting services, advertising systems, or other third-party tools. Shopthru does not control and is not responsible for third-party content, services, privacy practices, downtime, security failures, or conduct. Accessing third-party services is at your own risk.

 

21. Privacy and Data Use

Your use of Shopthru is also governed by our Privacy Policy and Cookie practices. By using Shopthru, you acknowledge that data may be collected, processed, stored, transferred, disclosed, and used as described in the applicable privacy documentation. Shopthru, like many marketplaces, also separates privacy and cookie terms from its core marketplace terms, which is a useful model for structuring a platform like Shopthru.

 

22. Platform Monitoring and Enforcement

Shopthru may, but is not obligated to, monitor accounts, listings, communications, metadata, transaction patterns, devices, locations, content, support interactions, and related activity for trust and safety, product compliance, fraud prevention, policy enforcement, legal compliance, service quality, analytics, and platform improvement.

You consent to such monitoring to the extent permitted by applicable law.

 

23. Suspension, Restriction, and Termination

Shopthru may suspend, restrict, hold, shadow-limit, delist, disable, terminate, or permanently ban any user, listing, product, vendor, payout, transaction, or account at any time, with or without prior notice, where Shopthru believes this is necessary or desirable for fraud prevention, legal compliance, risk control, policy enforcement, product safety, user protection, platform security, operational reasons, reputational protection, or business continuity.

 

Shopthru may preserve data, records, and evidence following suspension or termination and may cooperate with authorities, payment processors, affected users, or third parties as permitted or required by law.

 

24. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Shopthru, its parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, complaints, actions, proceedings, liabilities, damages, judgments, losses, fines, penalties, interest, taxes, costs, and expenses, including reasonable legal fees, arising out of or related to:

 

your use of or misuse of the platform;

your breach of these Terms or any platform policy;

your products, listings, sales, purchases, content, messages, reviews, acts, omissions, negligence, fraud, or misconduct;

any allegation that your products or content are unlawful, defective, unsafe, counterfeit, infringing, misleading, defamatory, offensive, or non-compliant;

any injury, death, illness, contamination, property damage, data loss, economic loss, or regulatory issue connected to your conduct or products.

 

25. Limitation of Liability

To the maximum extent permitted by law, Shopthru and its affiliates, officers, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or economic damages, including loss of profit, loss of business, loss of reputation, loss of goodwill, loss of data, loss of anticipated savings, opportunity loss, or interruption loss arising from or related to the platform, even if advised of the possibility of such damages.

 

To the maximum extent permitted by law, Shopthru’s total aggregate liability for any claim arising out of or relating to the platform, any order, any listing, any account, or these Terms shall not exceed the lesser of the amount actually paid to Shopthru by the claimant in connection with the specific transaction giving rise to the claim in the preceding three months; or NGN 50,000.

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.

 

26. No Warranty

The platform and all related services are provided on an β€œas is,” β€œas available,” and β€œwith all faults” basis. To the maximum extent permitted by law, Shopthru disclaims all warranties, representations, and conditions, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, availability, accuracy, security, uninterrupted service, and error-free operation.

 

Shopthru does not warrant that:

the platform will always be available, uninterrupted, secure, or error-free;

defects will always be corrected;

the platform is free of viruses, malware, or harmful components;

listings, reviews, ratings, or vendor statements are always accurate or complete;

users will behave lawfully, honestly, safely, or professionally.

 

27. Force Majeure

Shopthru shall not be liable for any failure, delay, suspension, or disruption resulting from events beyond its reasonable control, including acts of God, flood, fire, epidemic, pandemic, civil unrest, war, terrorism, labor shortages, power failure, telecommunications failure, internet outage, cyberattack, embargo, governmental action, campus restriction, regulatory action, strike, transportation disruption, or supplier or third-party service failure.

 

28. Disputes Between Users

Shopthru may, but is not obligated to, assist in disputes between buyers and vendors. Any intervention by Shopthru does not make Shopthru a party to the underlying dispute and does not constitute a waiver of any rights or defenses. Shopthru also publishes a separate dispute resolution document, which reinforces the value of handling dispute process distinctly rather than burying everything in one short page.

 

Shopthru may make decisions on a provisional, administrative, or platform basis for operational purposes, including refunds, credits, holds, reversals, and enforcement actions. Users agree that Shopthru may rely on available evidence and internal policies when making such decisions.

 

29. Formal Complaints and Dispute Process

Before starting formal legal action, the complaining user agrees to first submit a written complaint to Shopthru at [Insert Legal/Support Email], providing all relevant facts, transaction details, evidence, and desired remedy. Shopthru shall be given a reasonable opportunity to review and respond.

 

If the matter is not resolved through internal review, the parties shall attempt good-faith resolution before initiating court proceedings, unless urgent injunctive relief is necessary.

30. Compliance With Law and Regulatory Cooperation

Users agree to comply with all applicable local, state, federal, national, campus, institutional, and international laws and rules relevant to their activity. Shopthru may report users, transactions, listings, content, payments, products, addresses, communications, and records to regulators, law enforcement, payment partners, intellectual property claimants, campuses, or other competent bodies where required or where Shopthru reasonably believes doing so is necessary to protect rights, safety, or compliance.

 

31. Taxes

Users are solely responsible for determining, collecting, reporting, and remitting any taxes, levies, duties, tariffs, withholding obligations, or government charges applicable to their use of Shopthru, purchases, sales, income, or business activities, except to the extent Shopthru is expressly required by law to collect or remit certain amounts.

 

32. Records and Electronic Communications

You consent to receive agreements, notices, disclosures, receipts, messages, updates, and other communications electronically. Electronic records and platform logs may be used as evidence of transactions, communications, approvals, actions taken, and policy acceptance, subject to applicable law.

 

33. Changes to the Platform and Terms

Shopthru may modify, suspend, discontinue, update, replace, remove, or restrict any part of the platform at any time. Shopthru may also amend these Terms at any time by posting updated Terms on the platform. Continued use after any update constitutes acceptance of the revised Terms, to the extent permitted by law.

 

34. Assignment

Shopthru may assign, transfer, subcontract, novate, or delegate any of its rights or obligations under these Terms to any affiliate, successor, purchaser, investor-backed entity, or service provider without notice to you. Users may not assign their rights or obligations without Shopthru’s prior written consent.

 

35. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be interpreted as closely as possible to reflect the original intent while remaining enforceable.

 

36. Waiver

No failure or delay by Shopthru in exercising any right, remedy, power, or privilege under these Terms shall operate as a waiver of that right or any other right.

 

37. Entire Agreement

These Terms, together with any policies, guidelines, supplemental terms, notices, and agreements expressly incorporated by reference, constitute the entire agreement between you and Shopthru regarding the platform and supersede prior discussions or understandings relating to the same subject matter.

 

38. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Federal Republic of Nigeria, without regard to conflict of law principles.

 

Subject to any valid arbitration clause adopted by Shopthru, the courts of Lagos State, Nigeria shall have exclusive or non-exclusive jurisdiction, as your lawyer advises, over disputes arising out of or related to these Terms or the platform.
